After Company Formation in Türkiye: How to Make the New Entity Operational
A registered company is not yet an operating company. The first 60–90 days should turn the legal entity into a controlled finance, payroll, reporting and people environment.
1. Establish finance ownership immediately
Define who owns statutory accounting coordination, management reporting, payments, collections, cash forecasting, expense control and the monthly close. The biggest early-stage risk is not lack of software; it is unclear ownership.
2. Separate statutory reporting from management reporting
The local accounting process answers statutory requirements. Management still needs a reporting view aligned with group or investor decisions: revenue, gross margin, operating expenses, cash, receivables, payables, headcount and forecast.
3. Design bank and payment controls before volume grows
Decide bank users, payment preparers, approvers, limits, emergency access and evidence requirements. This is easier to design when the company is small than to repair after habits are established.
4. Build payroll and HR administration as one process
Hiring creates a chain of dependencies: employment documentation, payroll inputs, approvals, benefits, time/leave processes, personnel files and management reporting. Ownership should be explicit even when parts of the work are outsourced.
5. Recruit the first local roles against the operating model
A new subsidiary may need a Finance Manager, accountant, HR Manager, recruiter, IT support or operations owner—but not necessarily all at once. Define which capability is business-critical in the first six months and which can be shared or outsourced.
6. Create a parent-company/local-company interface
Document which decisions belong locally and which remain with headquarters. Define reporting deadlines, currency conventions, chart-of-accounts mapping, intercompany processes, approval limits and who resolves exceptions.
The operating-readiness test
If the managing director asks today, “How much cash do we have, what is due in the next four weeks, who can approve a payment, when will I see monthly results, and who owns payroll changes?” there should be clear answers.
