Can a Foreigner Open a Company in Turkey?

Yes. Türkiye's foreign-investment framework is based on equal treatment of international and local investors. Foreign investors may establish companies with 100% foreign shareholding or acquire all shares of an existing Turkish company. Sector-specific restrictions and special approvals can apply in certain regulated activities.

Company ownership should be considered separately from immigration and work authorization. Establishing a company does not by itself create an automatic right to work or reside in Türkiye.

How to Set Up a Company in Turkey

The exact sequence varies by shareholder type, business activity and documentation, but a typical foreign-investor workstream includes:

1. Select the legal structure. Define whether an LLC, JSC, branch or another structure is appropriate for the planned activity.
2. Define shareholders and management. Confirm ownership percentages, managers or directors, representation authority and the proposed business activity.
3. Prepare the incorporation documents. Company information and the articles of association are prepared for the MERSIS and Trade Registry process.
4. Prepare foreign-issued documents. Depending on the case, documents issued abroad may need notarization, apostille or consular legalization, official Turkish translation and Turkish notarization.
5. Obtain required tax identification information. Potential tax numbers may be required for non-Turkish shareholders and board members.
6. Complete Trade Registry registration. Once the required documentation is ready, the incorporation file proceeds through the relevant Trade Registry Directorate.
7. Complete post-registration compliance setup. Accounting, tax, statutory books, payroll and other required operational processes are organized.
8. Build the operating model. Banking, finance processes, internal controls, hiring, payroll coordination and management reporting are established according to the needs of the business.

Document requirements depend on the investor's country, whether the shareholder is an individual or legal entity, and the proposed company structure. They should be confirmed before the filing process begins.

Can the Process Be Coordinated Without Travelling to Turkey?

Many incorporation steps can be coordinated through an appropriately authorized representative when the necessary powers of attorney and supporting documents are in place. However, company incorporation and corporate banking are separate processes.

Banks apply their own KYC and compliance procedures and may request original documents, interviews or physical attendance depending on the shareholder, director, country and risk profile. Banking therefore needs to be planned separately rather than assumed to be automatically remote.
